1. Who this agreement is with
These Terms are between GBNOX LLC (“GBNOX”, “we”, “us”), registered in the State of Florida, United States of America, with its place of business at 5005 W Laurel St, Tampa, FL 33607, United States, and the person or company that creates a GBNOX Radar account (“you”).
If you accept these Terms on behalf of a company, you confirm you are authorised to bind it, and “you” means that company.
You accept these Terms when you create an account or start a subscription, whichever happens first.
2. What GBNOX Radar is
GBNOX Radar is a subscription service that reads your Amazon and Walmart product listings, scores them for how well an AI shopping assistant can understand them, suggests rewrites, and tracks buy box ownership, keyword position, inventory and profit over time. It can also produce reports you may share with your own clients.
What Radar is not: it does not sell on your behalf, does not guarantee any ranking, placement, buy box outcome or sales result, and is not a substitute for your own commercial judgement. Scores and suggestions are our assessment, not a marketplace’s.
3. Your account
- You must give accurate registration details and keep them current. Billing and access emails go to the address you register.
- You are responsible for everything done under your account, including by people you invite. Keep credentials confidential and tell us promptly if you believe an account has been compromised.
- Accounts are for one organisation. Do not share a single seat between people who could otherwise each need one.
- You must be at least 18 and legally able to enter into contracts.
4. Subscriptions, billing and renewal
Plans, prices, currency and billing period are those shown at checkout. All GBNOX Radar prices are in US dollars. Subscriptions renew automatically until cancelled.
The full billing terms — renewal, cancellation, price changes, taxes, failed payments and when fees are refundable — are set out in the Refunds & cancellation policy, which forms part of these Terms.
Payments are processed by Stripe. We do not receive or store your full card number. Your use of Stripe’s payment services is also subject to Stripe’s own terms.
5. Connecting your marketplace accounts
Radar works best when you connect your Amazon Selling Partner or Walmart Marketplace account. When you do:
- You confirm you are authorised to connect that account and to let us call the marketplace APIs on your behalf.
- You instruct us to retrieve listing, order, inventory and fee data for the workspaces you have set up.
- Credentials are encrypted at rest using AES-256-GCM and are used only to make calls you have asked for. See the Security page.
- You may disconnect at any time from Settings. Disconnecting stops future calls; data already retrieved stays in your workspace until you delete it or the account is closed.
Your relationship with Amazon and Walmart is your own. You remain bound by their programme policies, and we are not responsible for a marketplace suspending, throttling or changing access to your account or its APIs.
6. Your content and your data
You keep all rights in the listings, figures, images, branding and other material you put into Radar (“Your Content”). You grant us a limited licence to host, process, transmit and display Your Content strictly to provide the Services to you — including sending listing text to our AI sub-processor when you ask for a rewrite.
We do not use Your Content to train AI models, and our AI sub-processor is contractually bound not to train on it either. See the sub-processor list.
You are responsible for having the rights to Your Content and for it not being unlawful or infringing.
7. AI-generated suggestions
Radar uses large language models to draft rewritten titles, bullets and descriptions. These are drafts for you to review. AI output can be wrong, can invent product attributes that do not exist, and can breach a marketplace’s listing rules.
You decide what to publish. Before pushing any rewrite to a marketplace you are responsible for checking it is accurate, is not misleading, complies with that marketplace’s policies, and does not infringe anyone’s rights. We are not liable for the consequences of publishing content you did not verify.
8. Our rights in the Services
We and our licensors own the Services, including the software, the scoring methodology, the interface and the GBNOX and GBNOX Radar names and logos. Nothing here transfers those rights. You may use the Services only as these Terms allow.
We may use aggregated, de-identified statistics derived from use of the Services to operate and improve them. Such statistics never identify you, your clients or your listings.
9. Acceptable use
Your use must follow the Acceptable Use Policy, which forms part of these Terms. Breaching it is a breach of this agreement.
10. Availability, changes and support
- We aim to keep the Services available but do not promise uninterrupted operation. Planned maintenance is announced in advance where practical.
- The Services depend on third parties — marketplaces, our AI provider, our host — whose outages or rate limits can interrupt features. That is not a breach by us.
- We may change or discontinue features. If we materially reduce a feature you paid for, you may cancel and receive a pro-rata refund of the unused prepaid period.
- Support is provided through the contact form during normal business hours.
11. Early access
GBNOX Radar is in early access. Some features are new and may change materially. Where a feature is labelled beta, preview or early access, it is provided as-is and may be withdrawn without the notice in section 10.
12. Suspension and termination
- By you — cancel at any time as described in the Refunds & cancellation policy.
- By us for cause — we may suspend or terminate immediately if you breach these Terms or the Acceptable Use Policy, if your payment fails and stays unpaid after notice, or if we must do so by law. Where the circumstances allow, we will tell you first and give you a chance to put it right.
- By us for convenience — we may terminate on 30 days’ notice, refunding the unused prepaid period.
- After termination — you may export Your Content for 30 days. After that we delete it in line with the Privacy Policy.
13. Warranties and disclaimers
We provide the Services with reasonable skill and care. Beyond that, and to the fullest extent the law allows, the Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
We do not warrant that scores, rewrites, rank data, buy box data or profit figures are error-free or complete. Marketplace data is retrieved from third-party APIs and can be delayed, incomplete or wrong at source.
14. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, lost sales, lost data or loss of goodwill, even if advised such loss was possible.
Our total aggregate liability arising out of or relating to these Terms is limited to the fees you paid us in the twelve months before the event giving rise to the claim.
Nothing in these Terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.
15. Indemnity
You will defend and indemnify us against third-party claims arising from Your Content, from your breach of these Terms or the Acceptable Use Policy, or from content you published to a marketplace after Radar suggested it.
16. Confidentiality
Each party will protect the other’s non-public information with at least reasonable care and use it only for this agreement. This does not cover information that is public through no fault of the receiving party, was already known to it, or is required to be disclosed by law.
17. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days’ notice by email or in the dashboard before they take effect. Continuing to use the Services after that date means you accept the new Terms; if you do not, cancel before then and we will refund the unused prepaid period.
18. Governing law and disputes
These Terms are governed by the laws of the State of Florida, United States of America, without regard to conflict-of-law rules. Disputes are subject to the exclusive jurisdiction of the state and federal courts located in the State of Florida, United States of America.
Before filing anything, please contact us — most disputes are resolved faster by a conversation.
19. General
- Entire agreement — these Terms, together with the policies they incorporate, are the whole agreement between us about the Services.
- Assignment — you may not assign this agreement without our consent. We may assign it to an affiliate or in connection with a merger or sale of assets.
- Severability — if a provision is unenforceable, the rest stays in force.
- No waiver — not enforcing a right once does not waive it.
- Force majeure — neither party is liable for delay caused by events beyond its reasonable control.
- Independent parties — nothing here creates a partnership, agency or employment relationship.
